Федеральная служба по финансовым рынкам 14 февраля 2012 г. зарегистрировала проспект и выпуск 124 477 080 обыкновенных акций номиналом 2,5 рубля, размещаемых на основании решения о дроблении обыкновенных акций ОАО «ФосАгро». Выпуску присвоен государственный регистрационный номер 1-02-06556-А. Размещение акций путем конвертация при дроблении запланировано на 24 февраля 2012 г.
В связи с государственной регистрацией выпуска организатор торговли (ЗАО «ФБ ММВБ») будет обязан приостановить торги акциями «ФосАгро» не позднее 16 февраля 2012 г. и возобновить их после государственной регистрации отчета об итогах выпуска. «ФосАгро» дополнительно сообщит о возобновлении торгов своими акциями.
«ФосАгро» не ожидает приостановления торгов глобальными депозитарными расписками (ГДР) компании на Лондонской фондовой бирже в связи с процедурой дробления обыкновенных акций.
Одновременно ФСФР выдала разрешение на размещение и организацию обращения за пределами РФ 21,4% акций Общества в связи с их дроблением.
В результате дробления количество акций ОАО «ФосАгро» увеличится с 12 447 708 обыкновенных акций номиналом 25 рублей каждая до 124 477 080 обыкновенных акций номиналом 2,50 рубля каждая; размер уставного капитала при этом не изменится. Коэффициент дробления составит 10:1. После дробления акций каждой акция «ФосАгро» будет соответствовать 3 ГДР вместо 30 ГДР на данный момент. Депозитарием программы ГДР ОАО «ФосАгро» является компания Citigroup Global Markets Deutschland AG ("Ситигруп Глобал Маркетс Дойчланд АГ").

Russia’s FFMS Registers PhosAgro Share Split
Moscow - PhosAgro ("PhosAgro" or "the Company") (MICEX-RTS, LSE: PHOR), a leading global vertically integrated phosphate-based fertiliser producer, announces that the Russian Federation Federal Financial Markets Service (“FFMS”) has officially registered the prospectus for the share split approved by shareholders at an extraordinary general meeting of shareholders (“EGM”) on 1 December 2011.
In connection with the official registration of this share issue, MICEX-RTS will suspend trading in PhosAgro shares no later than 16 February 2012. Trading in PhosAgro ordinary shares will resume after official registration of the Company’s report on the results of the share split. PhosAgro will issue a statement upon resumption of trading in its ordinary shares.
PhosAgro does not expect any suspension of trading in the Company’s GDRs on the London Stock Exchange in connection with the share split procedures.
The share split is scheduled to take place on 24 February 2012 and will increase the number PhosAgro shares from 12,447,708 ordinary shares with a nominal value of RUB 25 per share to 124,477,080 ordinary shares with a nominal value of RUB 2.5 per share. The share split coefficient is 10:1 new to old shares and following the split, each PhosAgro share will represent 3 GDRs instead of the current 30 GDRs.
The state registration number of this share split is 1-02-06556-A. In addition, the FFMS on 14 February 2012 also renewed its approval for up to 21.4% of the PhosAgro’s shares to be traded outside of Russia.
